مع عدم الإخلال بحقوق الغير من ذوي النية الحسنة، يقع باطلا أي قرار يصدر عن الجمعية العمومية للشركاء بما يتعارض مع أحكام قانون الشركات أوعقد التأسيس هذا أو بما ينفع بعض الشركاء أو يسبب ضرراً للبعض الآخر دون اعتبار لمصالح الشركة. في حال وقوع ذلك، يجوز فقط لأولئك الشركاء الذين اعترضوا على القرارات أو أولئك الذين لم يتمكنوا من الاعتراض عليها لأسباب مقبولة أن يطالبوا بإبطال القرار. يتم اعتبار القرار الباطل لاغيا وكأن لم يكن من أساسه تجاه جميع الشركاء.
